IMPORTANT NOTICE: Please read these Terms of Service carefully before
using the Birdsoverbox platform. By creating an account or accessing
the platform, you agree to be legally bound by these terms. These terms
include an arbitration clause and class action waiver that affect your
legal rights.


  1. ACCEPTANCE OF TERMS

These Terms of Service (“Terms”) constitute a legally binding agreement
between you (“Member,” “User,” or “you”) and BIRDSOVERBOX LLC
(“Birdsoverbox,” “we,” “our,” or “us”) governing your access to and use
of the Birdsoverbox platform, including its website, mobile applications,
software, services, features, and related tools (collectively, the
“Platform”).

By registering an account, accessing the Platform, or clicking “I
Agree,” you confirm that you have read, understood, and agree to be
bound by these Terms and all policies incorporated by reference,
including our Privacy Policy and Community Standards.

If you do not agree to these Terms, you may not access or use the
Platform.


  1. ELIGIBILITY

You must be at least 18 years of age to create a Birdsoverbox account
and use the Platform. By agreeing to these Terms, you represent and
warrant that you are at least 18 years old and have the legal capacity
to enter into a binding agreement.

Certain features โ€” including singles fellowship events โ€” may require
additional age verification or identity documentation as described in
Section 11.


  1. MEMBERSHIP AND ACCOUNT

3.1 Membership Model

Birdsoverbox operates as a paid membership platform. Access to the full
features of the Platform requires an active paid membership. Membership
is administered through JoinIt or an equivalent membership management
system designated by Birdsoverbox.

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account
credentials and for all activity that occurs under your account. You
agree to notify Birdsoverbox immediately at info@birdsoverbox.com if you
become aware of any unauthorized use of your account.

3.3 One Account Per Person

Each member may maintain only one active account. Creating duplicate or
fraudulent accounts is prohibited and may result in termination of all
associated accounts.

3.4 Accurate Information

You agree to provide accurate, current, and complete information when
registering and to update your information promptly if it changes.
Birdsoverbox reserves the right to suspend or terminate accounts with
false or misleading information.


  1. MEMBERSHIP FEES AND BILLING

4.1 Subscription Fees

Membership requires payment of applicable subscription fees as published
on the Platform. Fees are subject to change with reasonable notice.
Continued use of the Platform following a fee change constitutes
acceptance of the new fee schedule.

4.2 Payment

By providing payment information, you authorize Birdsoverbox or its
payment processor to charge your payment method for applicable
membership fees on a recurring basis until you cancel. You represent
that you are authorized to use the payment method provided.

4.3 Cancellation and Refunds

You may cancel your membership at any time. Cancellation takes effect at
the end of the current billing period. Membership fees are
non-refundable except as required by applicable law. Birdsoverbox
reserves the right to issue refunds at its sole discretion in
exceptional circumstances.

4.4 Account Suspension for Non-Payment

If a payment fails or your membership lapses, Birdsoverbox may suspend
or terminate your access to the Platform and remove your account from
active team participation, including the Loaves & Fish Challenge.


  1. COMMUNITY STANDARDS AND CONDUCT

5.1 Expected Conduct

Birdsoverbox is a fellowship platform designed for followers of Jesus
Christ. All members are expected to interact with integrity, respect,
and genuine community purpose. By using the Platform, you agree to
uphold the values of the community.

5.2 Prohibited Content and Behavior

The following are strictly prohibited on the Platform:

  • Harassment, threats, intimidation, or targeted abuse of any member
  • Pornographic, sexually explicit, or sexually suggestive content
  • Hate speech, discrimination, or content that demeans individuals
    based on race, religion, gender, national origin, or other
    protected characteristics
  • Spam, unsolicited commercial messages, or pyramid scheme promotions
  • Impersonation of another person, organization, or entity
  • Fraud, scams, or deceptive practices of any kind
  • Content that promotes illegal activity or violates applicable law
  • Content that violates the intellectual property rights of others
  • Any content designed to harm, exploit, or manipulate other members

5.3 Enforcement

Birdsoverbox reserves the right โ€” but not the obligation โ€” to monitor,
review, remove, or restrict any content or account that violates these
standards, at its sole discretion and without prior notice.


  1. USER CONTENT

6.1 Ownership

You retain ownership of content you post on the Platform (“User
Content”). By posting User Content, you grant Birdsoverbox a
non-exclusive, royalty-free, worldwide license to use, display,
reproduce, and distribute your User Content in connection with operating
and promoting the Platform.

6.2 Content Responsibility

You are solely responsible for all User Content you post. You represent
and warrant that your User Content does not violate these Terms,
applicable law, or the rights of any third party.

6.3 Content Removal

Birdsoverbox reserves the right to remove any User Content at any time
without notice for any reason, including content that violates these
Terms or Community Standards.


  1. TEAMS

Members may form or join Teams within the Platform. Teams may represent
churches, ministries, workplaces, community groups, or any other
collective. Team leaders are responsible for ensuring their team’s
activity complies with these Terms and Community Standards.

Birdsoverbox reserves the right to dissolve, suspend, or restrict any
Team that violates these Terms, engages in fraudulent activity, or
undermines the integrity of the Platform or the Loaves & Fish Challenge.


  1. PRIVACY

Your use of the Platform is also governed by our Privacy Policy, which
is incorporated into these Terms by reference. By using the Platform,
you consent to the collection, use, and sharing of your information as
described in the Privacy Policy.

Birdsoverbox does not sell member data to third parties for advertising
purposes. The Platform is designed as an ad-free, member-supported
community.


  1. BUSINESS DIRECTORY & COMMERCE MAP

Birdsoverbox provides a Business Directory and Commerce Map System that
allow Christian business owners to list their services and offer
member-exclusive discounts. Birdsoverbox functions as a discovery and
connection tool only. The Platform does not participate in, process,
guarantee, or take responsibility for any transaction between a member
and a listed business.

Birdsoverbox does not guarantee the quality, safety, accuracy, or
legality of any services, products, or promotions offered by listed
businesses. Members engage with listed businesses at their own risk.
Birdsoverbox is not responsible for disputes between members and
businesses.

Business owners who list on the Platform agree that their listings
comply with all applicable laws and these Terms. Misleading or
fraudulent listings will be removed and associated accounts may be
terminated.


  1. THE LOAVES & FISH CHALLENGE

The Loaves & Fish Challenge is the centerpiece of the Birdsoverbox
community โ€” a monthly team-based generosity competition where small
contributions multiply into transformational gifts for nonprofit
organizations.

10.1 Overview

The Loaves & Fish Challenge is Birdsoverbox’s monthly team-based
generosity competition. Teams compete to sell tokens on behalf of a
designated nonprofit organization. The team that sells the most tokens
relative to its active member count wins the combined token pool, which
is paid out to their designated nonprofit. By participating in any
aspect of the Loaves & Fish Challenge โ€” including forming a team,
purchasing tokens, or sharing QR Token Coins โ€” you agree to the terms
in this section.

10.2 Token Purchases

Tokens are sold by Birdsoverbox at a price of $6.00 per token. Of each
$6.00 token purchase, $5.00 represents the token’s contribution to the
monthly prize pool and $1.00 is retained by Birdsoverbox LLC as a
platform service fee.

Token purchases are final and non-refundable. Tokens have no cash value
to the buyer, cannot be redeemed for goods or services, and are not
transferable. Tokens are not a donation, investment, or charitable
contribution โ€” they are a purchase that supports a community
competition.

Birdsoverbox reserves the right to set, adjust, or introduce additional
token denominations or pricing at any time with reasonable notice.

10.3 Team Formation & Eligibility

Any group of Birdsoverbox members may form a team to participate in the
Loaves & Fish Challenge. Teams may represent churches, ministries,
workplaces, community organizations, friend groups, or any other
collective.

Full Competitive Status requires a minimum of 20 active Birdsoverbox
members at the time of the competition month.

Provisional Status: During the platform’s launch and early growth
period, teams with fewer than 20 active members may participate under
Provisional Status, subject to the following conditions:

  • The team must have a minimum of 5 active Birdsoverbox members to
    qualify for Provisional Status.
  • The team must demonstrate active recruitment effort โ€” meaning the
    team is actively inviting new members to join Birdsoverbox during
    the competition month.
  • Provisional teams are eligible to sell tokens and contribute to
    the prize pool.
  • Birdsoverbox reserves the right to apply a modified scoring
    threshold to Provisional teams at its sole discretion.
  • Provisional Status will be phased out once the platform reaches a
    membership threshold determined by Birdsoverbox. Teams will be
    notified in advance of any change to Provisional Status
    eligibility.

Birdsoverbox reserves the right to verify team membership counts and
disqualify any team found to have inflated or misrepresented its active
member count.

10.4 Nonprofit Designation

Every participating team must designate a legitimate nonprofit
organization to represent in the competition. The nonprofit must be a
registered 501(c)(3) or equivalent recognized charitable organization.
Birdsoverbox reserves the right to verify nonprofit status and reject
designations that do not meet this requirement.

Teams may not designate a for-profit business, individual person, or
unregistered organization as their nonprofit. A team’s nonprofit
designation may be changed prior to the start of a competition month
but may not be changed once the month has begun.

Birdsoverbox is not affiliated with, responsible for, or liable for the
activities, finances, or conduct of any designated nonprofit
organization.

10.5 Competition Structure & Scoring

Each competition runs from the first day to the last day of the calendar
month. The winning team is determined by ratio โ€” tokens sold divided by
active member count. The team with the highest ratio of tokens sold per
active member at the end of the competition month wins.

Birdsoverbox’s calculation of token sales, active member counts, and
competition results is final and binding. In the event of a tie,
Birdsoverbox reserves the right to determine the resolution at its sole
discretion.

Birdsoverbox reserves the right to disqualify any team from a
competition month for:

  • Fraudulent token purchases, including self-purchases designed to
    inflate a team’s ratio.
  • Artificial inflation of active member counts.
  • Misrepresentation of nonprofit status or team identity.
  • Any violation of these Terms or Birdsoverbox Community Standards.

10.6 The QR Token Coin

Each qualifying team receives a unique QR Token Coin โ€” a digital asset
linking to their team’s token purchase page. The QR Token Coin may be
shared publicly across social media, print materials, physical
locations, and digital communications.

Teams and members may not misrepresent the purpose of the QR Token Coin,
falsely claim that token purchases are tax-deductible charitable
donations, or use the QR Token Coin in connection with any misleading,
deceptive, or fraudulent promotion. Token buyers must be clearly
informed that a token purchase is a $6.00 commercial transaction, not a
charitable donation.

10.7 Prize Pool & Payout

The prize pool consists of the combined $5.00 token values from all
tokens sold across all competing teams during the competition month. The
winning team’s designated nonprofit organization receives the full prize
pool as a cash payout.

Payouts are made directly to the designated nonprofit organization โ€”
not to individual team members or team leaders. Birdsoverbox will
coordinate payout with the nonprofit’s authorized representative
following the close of the competition month. Birdsoverbox’s obligation
to pay out the prize pool is contingent on the winning team’s nonprofit
providing valid payment information and verification.

For operational purposes, prize pool funds may be temporarily converted
to XRP or another digital asset at Birdsoverbox’s sole discretion
pending disbursement. Such conversion is an internal operational
mechanism only. It does not grant any token purchaser, team member, or
nonprofit any ownership, claim, or interest in any digital asset held
by Birdsoverbox LLC. Birdsoverbox does not guarantee the value of any
digital asset at the time of conversion or disbursement. Final payout
to the nonprofit will be made in U.S. dollars regardless of any interim
conversion.

Birdsoverbox reserves the right to withhold or delay a payout if there
is a reasonable basis to believe that fraud, misrepresentation, or a
violation of these Terms has occurred, pending investigation.

10.8 Tax Responsibility

Birdsoverbox is not a charitable giving platform. Token purchases are
not tax-deductible. The nonprofit organization receiving the prize pool
payout is solely responsible for all applicable tax reporting,
compliance, and obligations associated with receiving the payout.
Birdsoverbox makes no representations regarding the tax treatment of
token purchases or prize pool receipts and recommends that all parties
consult a qualified tax professional.

10.9 No Guarantee

Birdsoverbox does not guarantee that any team will win the Loaves &
Fish Challenge or that any specific prize pool amount will be generated
in any given month. Competition results depend on community
participation and are not predetermined. Birdsoverbox reserves the
right to cancel, postpone, or modify the Challenge structure at any
time with reasonable notice to participants.


  1. EVENTS AND GATHERINGS

Members may organize and promote real-world events including prayer
gatherings, meals, sports, community service projects, and social
activities through the Platform.

Birdsoverbox does not supervise, organize, or control member-organized
events. Participation in any event is voluntary and occurs at the
participant’s own risk. Birdsoverbox is not responsible for any injury,
loss, or harm that occurs at member-organized events.

Event organizers are responsible for ensuring that their events comply
with applicable local laws and regulations. Events requiring age
verification (such as singles gatherings) must require valid
government-issued identification.


  1. AUTOMATED SYSTEMS AND DATA RESTRICTIONS

12.1 No Bots or Automation

You may not access or interact with the Platform using automated
systems, including bots, crawlers, scrapers, data extraction tools, or
scripts, without prior written permission from Birdsoverbox.

12.2 No Data Scraping

You may not copy, harvest, collect, store, or exploit data from the
Platform โ€” including member lists, profiles, contact information, or
business listings โ€” for any purpose without Birdsoverbox’s express
written authorization.

12.3 No Reverse Engineering

You may not reverse engineer, decompile, disassemble, replicate, or
attempt to reproduce the Platform’s software, code, architecture,
design, or business model.


  1. INTELLECTUAL PROPERTY

All Platform software, graphics, logos, design elements, trade names,
trademarks, service marks, and related proprietary materials โ€”
including the Loaves & Fish Challenge name, QR Token Coin concept, and
the phrase “You don’t change the shirt โ€” the shirt changes you” โ€” are
the exclusive property of BIRDSOVERBOX LLC or its licensors. Nothing in
these Terms grants you any right, title, or interest in Birdsoverbox’s
intellectual property.

The Birdsoverbox name, logos, and related marks may not be used in
connection with any product or service without the prior written consent
of Birdsoverbox.


  1. SECTION 230 AND PLATFORM LIABILITY

Birdsoverbox operates as an interactive computer service provider within
the meaning of Section 230 of the Communications Decency Act (47 U.S.C.
ยง 230). Birdsoverbox is not the publisher or speaker of User Content and
is not liable for content posted by members. This does not limit
Birdsoverbox’s right to remove content or terminate accounts at its
discretion.


  1. DIGITAL ASSET DISCLAIMER

Birdsoverbox may use XRP or other digital assets as an internal
operational mechanism for the temporary holding and conversion of prize
pool funds pending disbursement. This use is administrative in nature
only and does not constitute an offering of securities, an investment
vehicle, or a financial product of any kind.

Token purchases made through the Loaves & Fish Challenge are not
investments. No token purchaser acquires any ownership interest, equity,
profit share, or claim to any digital asset held by Birdsoverbox LLC.
The value of XRP and other digital assets is volatile and subject to
market risk, regulatory change, and other factors outside Birdsoverbox’s
control. Birdsoverbox makes no representation or warranty regarding the
value of any digital asset at any point in time.

Birdsoverbox does not provide financial, investment, legal, or tax
advice. All participants are encouraged to consult qualified
professionals regarding any financial or tax questions related to their
participation on the Platform.


  1. DISCLAIMERS AND LIMITATION OF LIABILITY

16.1 No Warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT
WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT
LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE. BIRDSOVERBOX DOES
NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR
CONTINUOUSLY AVAILABLE.

16.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIRDSOVERBOX LLC AND
ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR
ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL BIRDSOVERBOX’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS
EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BIRDSOVERBOX IN THE
TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS
($100).


  1. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BIRDSOVERBOX LLC and
its officers, directors, employees, contractors, agents, licensors, and
successors from and against any and all claims, damages, losses,
liabilities, costs, and expenses (including reasonable attorneys’ fees)
arising from or related to:

  • Your use of or access to the Platform.
  • Your violation of these Terms.
  • Your User Content.
  • Your violation of any applicable law or regulation.
  • Your violation of any third-party rights.
  • Your participation in the Loaves & Fish Challenge, including token
    purchases, team activity, or nonprofit designations.

  1. DISPUTE RESOLUTION AND ARBITRATION

18.1 Informal Resolution

Before initiating formal dispute proceedings, you agree to contact
Birdsoverbox at legal@birdsoverbox.com to attempt to resolve the dispute
informally. Birdsoverbox will have thirty (30) days from receipt of your
notice to attempt to resolve the dispute.

18.2 Binding Arbitration

If informal resolution fails, all disputes, claims, or controversies
arising out of or relating to these Terms or the Platform shall be
resolved by binding arbitration administered by the American Arbitration
Association (AAA) under its Consumer Arbitration Rules, rather than in
court. The arbitration shall take place in the State of Wyoming or via
remote hearing. The arbitrator’s decision shall be final and binding.

18.3 Class Action Waiver

YOU AND BIRDSOVERBOX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER
ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS
MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

18.4 Exceptions

Either party may seek injunctive or other equitable relief in a court of
competent jurisdiction to prevent actual or threatened infringement,
misappropriation, or violation of intellectual property rights.


  1. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the
laws of the State of Wyoming, without regard to its conflict of law
principles. To the extent any dispute is not subject to arbitration, you
consent to exclusive jurisdiction and venue in the state or federal
courts located in Wyoming.


  1. PLATFORM AVAILABILITY AND FORCE MAJEURE

Birdsoverbox does not guarantee uninterrupted or error-free access to
the Platform. We may suspend or discontinue the Platform or any feature
at any time for maintenance, upgrades, or other reasons without
liability.

Birdsoverbox shall not be liable for any delay or failure to perform
resulting from causes beyond its reasonable control, including natural
disasters, acts of God, internet outages, cyberattacks, pandemics, or
government actions.


  1. ACCOUNT TERMINATION

Birdsoverbox reserves the right to suspend or permanently terminate your
account at any time, with or without notice, for any reason, including:

  • Violation of these Terms or Community Standards.
  • Suspicious, fraudulent, or harmful activity.
  • Automated or bot-like behavior.
  • Failure to maintain an active paid membership.
  • Fraudulent participation in the Loaves & Fish Challenge.

Upon termination, your license to use the Platform immediately ceases.
Provisions that by their nature should survive termination shall
survive, including ownership, warranty disclaimers, indemnity, and
dispute resolution.


  1. CHANGES TO THESE TERMS

Birdsoverbox may update these Terms at any time. If we make material
changes, we will notify you by email or through a prominent notice on
the Platform at least 14 days before the changes take effect. Your
continued use of the Platform after the effective date constitutes
acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the
Platform and cancel your membership.


  1. MISCELLANEOUS

23.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies
incorporated by reference, constitute the entire agreement between you
and Birdsoverbox regarding your use of the Platform.

23.2 Severability

If any provision of these Terms is found to be unenforceable or invalid,
that provision will be limited or eliminated to the minimum extent
necessary so that the remaining Terms remain in full force and effect.

23.3 No Waiver

Birdsoverbox’s failure to enforce any right or provision of these Terms
shall not constitute a waiver of that right or provision.

23.4 Assignment

You may not assign or transfer your rights or obligations under these
Terms without Birdsoverbox’s prior written consent. Birdsoverbox may
assign its rights freely.
